Why You Need Technical Due Diligence

How scalable is the architecture really? How much technical debt exists? Can the team deliver? What is the state of security, compliance, and automation?

When it comes to an investment, acquisition, or funding round, a lot is at stake. Financial metrics alone are not enough, because the underlying technical foundation ultimately determines whether a company or digital product is sustainable and capable of growth—or becomes a costly liability.

Without a thorough technical assessment, you're essentially buying blind. With a Technical Due Diligence from MPOWR IT, you get the facts—objective, structured, and presented in a way that is clear and understandable, even for non-technical stakeholders.

Who Is Technical Due Diligence For?

1

Scale-Ups (Vendor Due Diligence)

Are you preparing for a funding round and need to provide investors with an objective assessment of your technical foundation? A Vendor Due Diligence proactively demonstrates that your product, team, and processes are built on solid ground—strengthening your credibility and negotiating position.

2

Investors & Private Equity Firms (Buy-Side Due Diligence)

Are you considering investing in a company with a digital product but lack deep visibility into its technology? We evaluate the technical foundation for you—independently, factually, and with a clear assessment of risks, scalability, and team performance.

3

Buyers & Acquirers (M&A Due Diligence)

Are you planning an acquisition or merger and need a detailed understanding of the technical landscape? We analyze compatibility, technical debt, dependencies, technology stack, and the capabilities of the development team. This applies equally to strategic acquirers and mid-sized companies looking to expand their digital value creation through acquisitions.

Technical Due Diligence or Technical Health Check?

Both assess technology, teams, and processes—but they are designed for different purposes.

Technical Due Diligence:Triggered externally by a transaction (investment, acquisition, financing round). The goal is an objective assessment to serve as a basis for decision-making for third parties. Result: a standardized report with scores and ratings.

Technical Health Check: Triggered internally by the company itself ("Where do we stand?"). The goal is a self-diagnosis with a concrete roadmap for improvement. Result: a prioritized 6-12 month roadmap.

In short: Due diligence is evaluated, the health check is improved.

Confidentiality

During a technical due diligence, we work with highly sensitive information—source code, architecture, trade secrets, and team structures.

  • Non-disclosure agreements (NDAs) are standard practice before project start.
  • All analysis results are strictly confidential.
  • Results are only provided to the client.
  • No disclosure to third parties without explicit consent.

How much does a technical due diligence cost?

Starting at €12,000 — a fixed price based on the scope defined at the kick-off meeting.

The final price depends on the size of the system to be examined, the number of inspection categories, and your specific key interests. You'll know exactly what it costs before the project starts — no hidden daily rates, no unanswered questions.

And then what?

A technical due diligence is a snapshot in time. It often reveals areas that need to be addressed—either by the target company or following an acquisition.

We also offer support beyond that:

  • Annual follow-up due diligence for progress monitoring
  • Best-practice training for the team and organization
  • Implementation support: from MVP to mature product
  • Fractional CTO retainer for ongoing strategic support

How a Technical Due Diligence Works

Typical timeline: 2–4 weeks, depending on the scope and complexity of the assessment.

01

Step 1: Kick-off & Scope Definition

We begin by understanding your objectives, key areas of interest, and the context of the transaction. You can define up to three categories that will receive additional weighting in the overall score. Once the scope is agreed upon, a fixed project fee is established.

02

Step 2: Analysis & Interviews

We review source code, system architecture, infrastructure, processes, and documentation. In addition, we conduct interviews with the development team and relevant stakeholders. Our approach combines AI-powered code analysis with in-depth expert evaluation to provide a comprehensive and objective assessment.

03

Step 3: Report & Results Presentation

You receive a structured report that includes:

  • A score from 0–100 for each assessment category
  • A four-level rating system for every checkpoint:GOOD / NORMAL / RISKY / RED FLAG
  • A weighted overall score based on your selected key areas of interest
  • Key Findings, including unexpected insights, valuable additional information, and implicit knowledge uncovered during the review
  • An Executive Summary designed for decision-makers without a technical background

We present the findings in a personal review session and remain available to answer questions and discuss the results in detail.

Frequently Asked Questions

How long does a Technical Due Diligence take?

Typically 2–4 weeks, depending on the scope of the system being examined. For time-critical transactions, we can expedite the process.

What differentiates your TDD from other providers?

We combine AI-powered code analysis with the experience of architects who have worked for years in scale-ups and mid-sized companies. You won't receive a generic checklist, but rather a well-founded assessment with weighted scoring tailored to your key interests.

Can I determine the focus of the due diligence myself?

Yes. You define up to three key interest categories that are heavily weighted in the overall score. This way, you get the answers that are truly relevant to your decision.

Will I also receive the report in a format that non-technical people can understand?

Each report includes a management summary with clear assessments and recommendations for action—understandable for management, investors, and advisory board members without a technical background.

Do you also work under NDAs?

As standard practice. We sign an NDA before the project starts and treat all information with strict confidentiality.

What happens after the due diligence?

You decide. If the results indicate a need for action, we can provide support with training, implementation assistance, or a fractional CTO retainer—but we don't have to. The due diligence is a standalone service.
